The reason for the decision, according to Milovanov, was the inaction of the supervisory board following the opening of a criminal proceeding by the National Anti-Corruption Bureau, which concerns corruption schemes within the company.
Milovanov was the initiator of the extraordinary board meeting, where he proposed to adopt two decisions:
- Temporarily suspend officials whose names are mentioned in the NABU investigation to ensure an impartial inquiry.
- Create an independent ethics and compliance committee with international experts to review procurement, finances, and controls within the company, including a forensic audit.
“I believed and still believe that public statements by NABU, journalistic investigations, and public attention are sufficient grounds for decisive action. But the supervisory board chose formalism and bureaucracy. We were convinced for hours that there was no threat. This reflects a deep incapacity,” Milovanov wrote.

He also noted that instead of concrete results, he received only “explanations of processes”:
“I was told that I am toxic, biased, and demanding the impossible.”
In Milovanov's opinion, the NABU case should have been a signal for cleansing and reform, but this did not happen:
“Instead of awakening — there is slumber and hope that everything will pass. It looks particularly cynical when people who publicly oppose corruption simply giggle at meetings.”
