Idea Bank's Clients Won't Be Affected by Merger – But Banking Market Prepares for New Wave of Consolidation

TASkombankhas officially confirmed plans to merge with Idea Bank, but nothing will change for regular customers – the app, branches, and products will remain the same. Meanwhile, the deal itself is another signal that the time of consolidation has arrived on Ukraine's banking market.

If you are an Idea Bank client and are waiting for news about the merger with anxiety about your deposit or familiar app – you can relax. The head of TAScombank's board Vladimir Dubey gave a clear message in an interview with LIGA.net: the merger of banks is a matter of balance sheets and reporting, not products and services.

"Idea Bank will remain in its niche: we do not plan to change its app, product line, management or branch network," said Dubey. In other words, legally two banks will become one, but for the client the difference will be only in the name of the legal entity in the contract.

Technical marathon with a year-long timeline

The mechanics of the merger itself is not a one-day event, but a long technical process. First, TAScombank transitions to a new operating system – this should be completed by August. Then about another six months will be spent on merging operating systems within TAScombank itself. And only after that will integration with Idea Bank begin.

It turns out that from the moment of purchase in April 2025 to the actual technical merger, two to three years may pass. For comparison: the purchase agreement itself cost $36.5 million – a sum that a large bank is able to spend quickly, but operational integration of banking systems is traditionally the longest and riskiest stage of any M&A in the banking sector.

Why buy a bank if you don't change the product

Tihipko's logic here is pragmatic, not about product synergies. Dubey directly named two growth strategies to reach the top 10 Ukrainian banks by 2028: grow capital and portfolios organically – or buy an existing business and get an immediate jump in the rankings.

"Acquire a bank that will allow us to be more efficient and rise faster in the rankings," explained Dubey.

Idea Bank with assets of 12.68 billion hryvnia (0.34% of the system, 27th place out of 60 banks) is itself a small player. But for TAScombank, which is currently ranked 17th by profit, it is a ready-made piece of retail business – cash loans, cards, individual deposits – exactly what TAScombank, focused mainly on business clients, lacks.

What this means for the market

The TAS Group already owns monobank – one of the country's most successful retail banking products. Now another retail player with its own identity, which is deliberately not merging product-wise with the parent structure, is being added to the portfolio. This suggests a strategy: not one universal ecosystem, but several specialized banks under one roof.

The question for the next two to three years is simple: if the technical integration of balance sheets goes smoothly, will this "multiple brands in one group" model become a template for other major players in Ukrainian banking, who are also looking for a path to the top 10 not organically, but through acquisition?
